Terms of Service

Welcome to Niannian Diary (念念日记) ("the App", "we", "us", or "our"). Please read these Terms of Service carefully before using the App. By using the App, you agree to be bound by these Terms.
Summary: You retain ownership of your diary and note content. Apple Sign-In is used only for account authentication. AI features are optional, require your explicit in-app consent before activation, and can be turned off at any time. AI-generated output is for reference and should be reviewed before saving. Subscriptions are processed by Apple and can be cancelled under Apple's rules. Please regularly export and back up your important data. Fraudulent sign-ups, attacks, abuse, or unlawful use may lead to account or feature restrictions.
1. Service Overview
Niannian Diary (念念日记) is an intelligent recording and diary application that provides:
- Guided Q&A recording: Daily questions to help you capture your life
- Free-form notes: Write freely anytime, anywhere
- AI diary generation: Automatically generate complete diary entries from your notes using AI
- Diary management: Edit, search, tag, and view statistics
- Optional context: Add mood, weather, images, and location text where you choose to do so
- Data export: Export in Markdown or PDF format
We reserve the right to modify, suspend, or discontinue features, and will provide reasonable notice where possible.
2. Account Registration and Use
- You may create and access an account through Apple Sign-In
- You are responsible for maintaining the security of your account, and you bear any loss caused by your failure to keep it secure
- Each user may register only one account; accounts may not be transferred, lent, or shared
- You must be at least 13 years of age (or the higher minimum age set by your local law, such as 14 or 16 in some APAC jurisdictions), and if your local law requires parental or guardian consent, you must have obtained such consent
- If you discover any security issues with your account, please contact us immediately through in-app feedback or by email
3. Content Ownership and Intellectual Property
3.1 Your Content Rights
You retain full ownership of all diary entries, notes, and other content you create through this App. Except for processing described in these Terms and our Privacy Policy that is necessary to provide and maintain the service, we will not use your content for marketing, advertising, or other purposes unrelated to the service.
3.2 Limited Licence
To provide the service, you grant us a limited licence to process your content only as necessary for:
- Storing your content on our servers for synchronisation and access
- Transmitting necessary content to AI service providers for AI diary generation, question recommendation, AI profile summary, or similar AI features (only when you use those features)
- Processing and formatting your content when you use the export feature
- Saving and displaying optional information such as location, images, mood, weather, and tags together with the relevant diary or note where you choose to add them
This licence is limited to what is necessary to operate the service and does not include using your content for marketing, advertising, or other commercial purposes.
3.3 Content Standards
- You are solely responsible for the content you create
- Content that violates applicable laws, infringes on others' rights, or contains harmful material is prohibited
- You must not use the App to generate, store, or distribute harassment, fraud, hate, violence, pornography, infringing material, malware, spam, or other unlawful or harmful content
- If we reasonably determine that content or conduct violates these Terms, applicable law, or platform rules, we may remove content, restrict features, suspend or terminate accounts, and retain relevant records where needed for security, compliance, or dispute resolution
3.4 Copyright Complaints
If you believe content in the App infringes your copyright or other intellectual property rights, please send us a notice using the contact below, including the following:
- A description of the work you claim has been infringed
- The location of the content you believe is infringing
- Your contact information
- A statement as to the truthfulness of the above
We will review and handle valid notices as soon as practicable.
4. AI Service Terms
When using AI diary generation, AI question recommendation, AI profile summary, or similar AI features, please note:
- AI-generated content is based on your notes and is for reference only
- AI output may not be fully accurate, complete, or appropriate; you are responsible for reviewing and editing before saving
- Necessary content may be sent to a third-party AI provider for processing (see our Privacy Policy, Section 3)
- We make no guarantees regarding the accuracy, completeness, suitability, or legality of AI-generated content
- AI-generated content is not medical, psychological, legal, financial, or other professional advice and should not be used as the sole basis for important decisions
- Once you confirm and save AI-generated content, it becomes your personal content and your responsibility
- AI services may be temporarily unavailable due to third-party provider issues; we will try to restore them but do not guarantee continuous availability
5. VIP Membership
5.1 Subscription and Payment
- VIP members enjoy additional premium features and higher usage limits
- VIP subscriptions are offered in two tiers: monthly and yearly. Specific durations and prices are as displayed in the in-app purchase sheet
- All payments are processed through Apple In-App Purchase, and payment will be charged to your Apple ID account at confirmation of purchase
- Use of the App is also governed by Apple's standard end-user licence agreement (EULA). See Apple EULA
- If the in-app description differs from Apple's purchase sheet, the App Store, or Apple's applicable rules, Apple's displayed information and applicable rules control
5.2 Free Trial
- New users may be eligible for a one-time free trial period (duration as displayed in the App)
- Each user is entitled to one free trial only
- If not cancelled before the trial ends, it will automatically convert to a paid subscription
5.3 Auto-Renewal and Cancellation
How to cancel auto-renewal:
Open iPhone/iPad → Settings → Tap your Apple ID → Subscriptions → Find Niannian → Cancel Subscription
Cancellation must be completed at least 24 hours before the current subscription period ends; otherwise it will auto-renew.
- Subscriptions auto-renew according to your selected plan (monthly / yearly)
- Unless you cancel at least 24 hours before the end of the current period, the subscription will automatically renew, and the renewal charge will match the price of the current subscription (unless Apple notifies you of a price change and obtains your consent)
- Renewal charges are deducted from your Apple ID account within 24 hours before the current period ends
- After cancellation, VIP benefits continue until the end of the current subscription period; any unused portion of a paid period is non-refundable, except as provided by Apple's applicable rules
5.4 Refund Policy
- Since subscriptions are processed through Apple In-App Purchase, refund requests must be submitted through Apple's official channels
- Visit reportaproblem.apple.com or contact Apple Support to request a refund
- We cannot process refunds directly but will cooperate with Apple's refund review process
5.5 Price Changes
We reserve the right to adjust VIP pricing and benefits. Price changes will:
- Be notified in the App or through Apple in advance
- Not affect the price of your current subscription period
- Take effect from the next renewal period
6. Prohibited Use
You must not:
- Interfere with or disrupt the normal operation of the App
- Use technical means to bypass usage limits, VIP verification, or other security measures
- Reverse-engineer, decompile, or disassemble the App
- Use the App for any illegal activity
- Use automated tools, scripts, or crawlers to access or scrape App data
- Bulk-register accounts, abuse verification codes, abuse free trials, bypass risk controls, or interfere with email or login services
- Impersonate other users or misrepresent your affiliation with any person or entity
- Upload content containing malware, viruses, or harmful code
- Harass, threaten, defame, or infringe the privacy, intellectual property, personality, or other legal rights of others
- Interfere with other users' normal use of the App
If we reasonably believe that your account, content, or conduct falls within the above or creates security, legal, or operational risks for the App, other users, third-party providers, or us, we may take necessary measures including content removal, feature restrictions, account suspension, service termination, refusal of re-registration, evidence preservation, and reports to platforms or competent authorities.
7. Disclaimer of Warranties
The App is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- We do not guarantee uninterrupted or error-free service
- We do not guarantee the accuracy or appropriateness of AI-generated content
- We are not liable for service interruptions caused by force majeure events (including but not limited to natural disasters, network failures, policy changes, or third-party service outages)
- We are not liable for any indirect, incidental, special, or punitive losses arising from your use of the App
- Beta features are provided "as is," may contain additional defects, and may be modified or removed at any time
8. Limitation of Liability
To the maximum extent permitted by applicable law:
- Our total aggregate liability for all claims arising from or related to the App or these Terms shall not exceed the total amount you actually paid to us in the 12 months preceding the claim, or SGD 10, whichever is greater
- We are not liable for any loss of profits, data loss, loss of goodwill, or other intangible losses
These limitations do not apply where prohibited by applicable law.
9. Indemnification
You agree to indemnify and hold us harmless from any claims, losses, damages, and costs (including reasonable legal fees) arising from:
- Your breach of these Terms of Service
- Your violation of any applicable laws or regulations
- Your user content infringing the rights of a third party
10. Data and Backup
- We make reasonable efforts to safeguard your data but do not assume absolute liability for data loss
- We strongly recommend that you regularly export and back up your important data (Markdown or PDF format)
- After account deletion, your account enters an approximately 30-day recovery period. After that period, relevant data will be deleted or anonymised according to our Privacy Policy and system process, except where retention is needed for legal, compliance, security, or dispute-resolution purposes
- We do not provide a service-availability guarantee (SLA) but will make our best efforts to keep the service running reliably
11. Changes to These Terms
- We may update these Terms from time to time
- Updated Terms will be published on this page with a revised effective date
- For material changes (such as significant restrictions on user rights or changes to pricing), we will notify you via in-app notification
- Continued use of the App after changes are posted constitutes your acceptance of the updated Terms
- If you do not agree with the updated Terms, please stop using the App and delete your account
12. Termination
12.1 Your Right to Terminate
- You may stop using the App at any time
- You may delete your account in the App to permanently terminate the service
- Before termination, we recommend exporting your data using the export feature
12.2 Our Right to Terminate
- If you violate these Terms, applicable law, platform rules, or create security risk, abuse, fraud, attack, spam, or infringement concerns, we may suspend or terminate your account without prior notice
- If your account is inactive for 12 consecutive months, we may mark it as inactive and send a notification
- Upon termination, your data will be handled within the periods set out in Section 7 of our Privacy Policy
12.3 Survival
The following provisions survive termination of the service: Content Ownership and Intellectual Property (Section 3), Disclaimer of Warranties (Section 7), Limitation of Liability (Section 8), Indemnification (Section 9), Governing Law and Dispute Resolution (Section 13), and any other provisions that by their nature should survive.
13. Governing Law and Dispute Resolution
13.1 Governing Law
- Subject to the mandatory provisions below, these Terms are governed by the laws of the Republic of Singapore, without regard to its conflict of laws rules
- Any disputes arising from these Terms shall first be resolved through good-faith negotiation; you may first contact us at support@niannian.app, and we will try to resolve the matter within a reasonable period
- If negotiation fails, then, except as otherwise provided in Section 13.2 (which applies to U.S. users), either party may bring proceedings in the courts of competent jurisdiction in Singapore
13.2 U.S. Users: Arbitration and Class Action Waiver
This section applies only to users residing in the United States and affects how you resolve disputes. Please read it carefully.
- Informal resolution first: Before starting arbitration, you agree to first describe the dispute to us at support@niannian.app, and both parties will make a good-faith effort to resolve it informally within 60 days
- Binding individual arbitration: If not resolved, any dispute between you and us arising from these Terms or the App will be finally resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its applicable consumer arbitration rules, rather than in court (except for small-claims matters below)
- Class action waiver: You and we each agree to bring claims only in an individual capacity and waive the right to participate in any class action, class arbitration, or representative proceeding as a plaintiff or class member; the arbitrator may not consolidate more than one person's claims
- Small-claims exception: Either party may bring an eligible dispute in a competent small-claims court
- 30-day opt-out: You may opt out of this arbitration and class action waiver section by emailing support@niannian.app (stating your account email and your election to opt out of arbitration) within 30 days of first accepting these Terms; opting out does not affect the rest of these Terms
- This arbitration provision is governed by the U.S. Federal Arbitration Act (FAA); if the class action waiver is found unenforceable as to a particular dispute, that dispute shall be resolved in court rather than by arbitration
13.3 Local Mandatory Consumer Rights
- If you are located outside Singapore (including but not limited to Japan, South Korea, Hong Kong SAR, Macao SAR, Taiwan, Malaysia, Thailand, the Philippines, Australia, New Zealand, the United States, and Canada), and the mandatory consumer protection laws of your jurisdiction grant you stronger rights, require the application of local law, or require disputes to be heard locally, those mandatory provisions prevail and are not limited by these Terms
14. General Provisions
- Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the use of the App
- Severability: If any provision of these Terms is found to be invalid or unenforceable, it will be modified to the minimum extent necessary to make it valid, and the remaining provisions shall remain in full force and effect
- No waiver: Our failure to exercise or enforce any right or provision of these Terms does not constitute a waiver of that right or provision
- Assignment: You may not assign your rights or obligations under these Terms without our prior written consent
- Apple as third-party beneficiary: You acknowledge and agree that Apple Inc. and its subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary
- Apple's standard EULA: In addition to these Terms, your use of the App is also governed by Apple's standard end-user licence agreement (EULA). See Apple EULA. If these Terms conflict with the Apple EULA, the stricter of the two applies
